Group Membership Agreement

1. Welcome to the Energy Transition Show

The Energy Transition Show’s integrated digital platform (the “Energy Transition Show Platform”) is a trusted digital library which provides access to conversations with leading experts and thinkers on energy from around the world, as well as content such as transcripts and research notes related to these recorded interviews. The Energy Transition Show is published and distributed by XE Network, the operating name of XE Media Association, a not-for-profit society based in Vancouver, British Columbia.

This Group Membership Agreement (this “Agreement”) sets out the terms on which an organization may hold a group membership in the Energy Transition Show on behalf of its designated members. It supplements, and should be read together with, the XE Network Terms of Service (the “Terms of Service”), which are incorporated into this Agreement by reference and govern all Energy Transition Show memberships, including group memberships.

Membership in the Energy Transition Show is also membership in XE Media Association. Each membership included in a group membership is an individual Energy Transition Show membership held by a designated individual and carries membership in XE Media Association, with the rights and responsibilities described in the Terms of Service. 2. Group Membership and Authorized Users

2.1 Seats. A group membership consists of a set number of individual Energy Transition Show memberships (“Seats”) purchased by an organization (the “Member Organization,” also referred to as an “Institutional Licensee”) under centralized billing. The number of Seats is set out in the Member Organization’s order, invoice, or membership record. A group membership may also be referred to as a group subscription, organization license, enterprise license, site license, or campus license; regardless of the term used, every such arrangement has the same Seat-based structure and is subject to this Agreement and the Terms of Service.

2.2 Authorized Users. Each Seat is assigned to an individual designated by the Member Organization (an “Authorized User”). Authorized Users are the only individuals entitled to access the Licensed Content under a group membership, and the number of Authorized Users may not exceed the number of Seats purchased. Each Authorized User holds an individual Energy Transition Show membership for the term of the group membership and is bound by the Terms of Service and this Agreement upon accessing Energy Transition Show content.

2.3 Eligibility and Registration. Authorized Users are typically individuals affiliated with the Member Organization, such as employees, staff, faculty, researchers, lecturers, or enrolled students. The Energy Transition Show registers and recognizes Authorized Users by their organizational email address and, where enabled, single sign-on or another authentication method agreed with the Member Organization. The Member Organization is responsible for designating its Authorized Users and for ensuring that access is limited to them.

2.4 Individual Members. Individuals who purchase an Energy Transition Show membership on their own, independent of an organization, are governed directly by the Terms of Service and not by this Agreement.

2.5 Billing. Billing, payment, automatic renewal, cancellation, refunds, and payment disputes for group memberships are governed by the Terms of Service. The Member Organization is solely responsible for all payments, including recurring renewal charges, and is the only party authorized to manage billing for the group membership. Individual Authorized Users are not parties to the billing arrangement and may not dispute charges on the Member Organization’s behalf.

3. The Content

3.1 “Content” means the collective of:

  1. “Podcast Episodes,” defined as complete full-length audio files of Energy Transition Show episodes that can be downloaded or streamed;
  2. “Podcast Episode pages,” defined as content related to episodes which is available on the web and restricted to members only (i.e., not freely available to non-paid members on energytransitionshow.com), such as the show research notes and links associated with each podcast;
  3. “Transcripts,” defined as the content of each interview translated from spoken word to written word; and
  4. the “Member feed,” defined as the RSS feed of full member episodes that is secured by username and password and is only accessible to registrants on the Energy Transition Show Platform.

3.2 “Licensed Content” means the Content made available to an Authorized User through their Energy Transition Show membership. The specific Content included may change over time as described in the Terms of Service.

4. Permitted Uses of the Content

4.1 Member Organizations and their Authorized Users may search, view, reproduce, display, download, print, perform, and distribute Licensed Content for the following Permitted Uses, provided they comply with the restrictions in this Section 4, Section 5, and elsewhere in this Agreement and the Terms of Service:

  1. research activities;
  2. classroom or organizational instruction and related classroom or organizational activities;
  3. student assignments;
  4. as part of a scholarly, cultural, educational, or organizational presentation or workshop, if such use conforms to the customary and usual practice in the field;
  5. linking;
  6. on an ad hoc basis, without commercial gain and in a manner that does not substitute for direct access to the Content via services offered by the Energy Transition Show, sharing discrete portions of Content for purposes of collaboration, comment, or the scholarly exchange of ideas;
  7. downloading Content to view, use, and display, including on a personal digital device (e.g., mobile devices, e-readers, and personal computers);
  8. in research papers or dissertations, including reproductions of the dissertations, provided such reproductions are only for personal use, library deposit, and/or use solely within the organization(s) with which the Authorized User and/or their faculty readers are affiliated; and
  9. fair dealing under the Copyright Act of Canada, educational exceptions, or other similar provisions of Canadian copyright or intellectual property law.

4.2 Portions of Licensed Content that have been downloaded or printed out by an Authorized User may continue to be used in compliance with this Agreement and the Terms of Service even if the membership should later terminate or expire.

5. Prohibited Uses of the Content

Member Organizations and Authorized Users may not:

  1. use or authorize the use of the Energy Transition Show Platform or Content for commercial purposes or gains, including charging a fee-for-service for use of the Energy Transition Show beyond reasonable printing or administrative costs (for clarification, “commercial purposes or gains” does not include research whose end-use is commercial in nature);
  2. except as set out above, provide or authorize access to the Content to persons or entities other than Authorized Users;
  3. share account credentials or allow anyone other than the Authorized User to whom a Seat is assigned to access that membership — access is restricted based on login activity and IP address, and unauthorized sharing may result in temporary or permanent loss of access;
  4. share, distribute, or republish the members-only podcast feed or any member files;
  5. attempt to override, circumvent, or disable any encryption features or software protections employed in the Energy Transition Show Platform;
  6. use computer programs that automatically download or export Content (such as web robots, spiders, crawlers, or accelerators) in a way that may interfere with, disrupt, or burden the Energy Transition Show servers or any third-party servers used in connection with the Energy Transition Show;
  7. undertake coordinated or systematic activity between or among two or more individuals or entities that, in the aggregate, constitutes downloading or distributing a significant portion of the Content;
  8. modify, obscure, or remove any copyright notice or other attribution included in the Content;
  9. incorporate Content into an unrestricted database or website; or
  10. reproduce or distribute Content in bulk, such as in course packs, electronic reserves, repositories, or organizational intranets (but see Section 4.1(e) above regarding linking).

6. Linking

The Energy Transition Show encourages the use of links to facilitate access to the Content by Authorized Users and Member Organizations, including links in online syllabi, bibliographies, and reading lists. All Content has a stable URL that can be found in the search interfaces of the Energy Transition Show website and in the URL bar of the page.

7. Sharing Between Organizations

A Member Organization may not fulfill requests from other organizations or libraries for access to Energy Transition Show Content. A group membership only authorizes use of the Content by that organization’s Authorized Users, up to the number of Seats purchased.

8. Responsibilities of Users

8.1 Access. Member Organizations shall make reasonable efforts to ensure that access to the Licensed Content is limited to their Authorized Users and to protect the Licensed Content from unpermitted use, including by verifying the status of Authorized Users. Authorized Users are responsible for maintaining the confidentiality and security of their username and password and for all activity under their membership, and may not provide access to the Energy Transition Show to anyone else.

8.2 Unpermitted Use. Member Organizations and Authorized Users shall notify the Energy Transition Show of any unpermitted use of which they become aware, including any known or suspected unauthorized use of an account, any unauthorized use of the Energy Transition Show, or any known or suspected breach of security (including loss, theft, or unauthorized disclosure of a username, password, or IP address), and shall work cooperatively with the Energy Transition Show to resolve it. In the event of a violation by an Authorized User, the Energy Transition Show may (a) suspend or terminate, or request that the Member Organization suspend or terminate, that Authorized User’s access; (b) suspend or terminate the access of the IP address(es) or other authentication mechanisms from which the unauthorized use occurred; and/or (c) request that the Member Organization impose further reasonable restrictions on access and downloading. The Energy Transition Show shall make reasonable efforts to contact the Member Organization before any suspension or termination and to restore access promptly after the matter is resolved.

8.3 Posted Material. Where Authorized Users are able to submit material or post comments on the Energy Transition Show Platform, they represent and warrant that they will not upload or publish any material that: (a) is protected by copyright or other proprietary or intellectual property rights; (b) is libelous, defamatory, obscene, pornographic, abusive, invasive of another’s privacy, or hateful; or (c) contains a virus, spyware, or other harmful component, advertising of any kind, or false or misleading indications of origin or statements of fact. Authorized Users acknowledge that any material they submit may be edited, removed, modified, or published by the Energy Transition Show without notice.

8.4 Hardware and Software. Member Organizations and Authorized Users are responsible for providing and maintaining the Internet browser software, hardware, and Internet access necessary to use the Energy Transition Show Platform, and any associated costs.

9. Intellectual Property Rights

9.1 General. The Energy Transition Show Platform and all trademarks, patents, copyrights, rights in ideas, designs, works of authorship, derivative works, and all other intellectual property rights (collectively, “Intellectual Property”) relating to the Energy Transition Show Platform are proprietary to XE Media Association or, as applicable, its content providers and contributors, subject to the rights of third parties.

9.2 Trademarks. Neither party may use the other’s name or trademark without approval, except: (i) the Energy Transition Show may use a Member Organization’s name to identify it as a participant in the Energy Transition Show along with other participants; and (ii) Member Organizations are encouraged to use the Energy Transition Show’s name and logo to announce their membership to Authorized Users and to train Authorized Users on its use.

10. Responsibilities of the Energy Transition Show

10.1 The Energy Transition Show will use reasonable efforts to provide continuous availability of the Energy Transition Show Platform, subject to periodic unavailability due to maintenance or updates and to downtime related to equipment or services outside its control (“Maintenance Downtime”).

10.2 The Energy Transition Show has tested the Platform for compatibility with modern desktop and mobile devices and offers reasonable and timely technical support to help users with access to the Content.

11. Warranty; Disclaimers

11.1 Authorized Users recognize that the Energy Transition Show aggregates third-party Content, in the form of show notes and links, as well as the opinions and perspectives of its guests.

11.2 The Energy Transition Show will not be liable, and Member Organizations and Authorized Users agree not to hold it liable, for any loss, injury, claim, liability, damages, costs, or fees resulting from the unavailability of the Energy Transition Show Platform or Content, delays or interruptions in service, or use of the Platform or Content in violation of this Agreement. If the Platform fails to operate in conformance with this Agreement, the Member Organization will notify the Energy Transition Show, and, subject to Section 10.1, the Energy Transition Show’s sole obligation will be to repair the nonconformity. In no event will the Energy Transition Show’s liability to a Member Organization exceed the fees paid by that Member Organization for the term of the membership then in effect. OTHER THAN ANY EXPRESS WARRANTIES STATED IN THIS SECTION 11, THE ENERGY TRANSITION SHOW PLATFORM, CONTENT, AND ACCESS SOFTWARE ARE PROVIDED ON AN “AS IS” BASIS, AND THE ENERGY TRANSITION SHOW AND ALL THIRD-PARTY CONTENT AND SOFTWARE PROVIDERS AND LICENSORS (“CONTENT PROVIDERS”) DISCLAIM ALL OTHER WARRANTIES, CONDITIONS, AND REPRESENTATIONS OF ANY KIND (EXPRESS, IMPLIED, ORAL, OR WRITTEN), INCLUDING ANY IMPLIED WARRANTIES OF QUALITY, PERFORMANCE, NON-INFRINGEMENT, COMPATIBILITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. THE ENERGY TRANSITION SHOW AND ALL CONTENT PROVIDERS MAKE NO WARRANTIES REGARDING ANY HARM CAUSED BY THE TRANSMISSION OF A COMPUTER VIRUS, WORM, OR SIMILAR PROGRAM, EXCEPT THAT THE ENERGY TRANSITION SHOW WILL EXERCISE A REASONABLE LEVEL OF CARE TO PREVENT SUCH OCCURRENCES, AND FURTHER DISCLAIM ANY LIABILITY AND MAKE NO WARRANTIES WITH RESPECT TO THE CONTENT, INFORMATION, MATERIALS, OR OTHER SERVICES MADE AVAILABLE THROUGH THE ENERGY TRANSITION SHOW.

12. Force Majeure

Neither the Energy Transition Show nor Member Organizations or Authorized Users will be liable for failures or delays in performing their obligations under this Agreement arising from any cause beyond their control, including acts of God, acts of civil or military authority, terrorism, fires, strikes, lockouts or labor disputes, epidemics, wars, riots, earthquakes, storms, and floods. In any such event, the time for performance will be extended for a period equal to the time lost. If the conditions causing the delay continue beyond sixty (60) consecutive days, either party may terminate this Agreement on written notice to the other.

13. General

13.1 Relationship to the Terms of Service. This Agreement supplements the Terms of Service, which are incorporated by reference and which govern all Energy Transition Show memberships, including group memberships. The Terms of Service govern billing, payment, automatic renewal, cancellation, refunds, payment disputes, and membership in XE Media Association; this Agreement governs how Authorized Users access and use the Licensed Content and the related responsibilities of the Member Organization. If a provision of this Agreement conflicts with the Terms of Service, the Terms of Service govern.

13.2 Governing Law. This Agreement is governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

13.3 Dispute Resolution. The parties will first attempt to resolve any dispute relating to this Agreement through good-faith negotiations. If they cannot reach a resolution within forty-five (45) calendar days of written notice requesting one, either party may submit the dispute to the courts of the Province of British Columbia, which shall have exclusive jurisdiction.

13.4 Severability; Waiver. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in full force and effect. A party’s failure to enforce any provision is not a waiver of its right to enforce that or any other provision later.
